We are now (2019) faced with a situation whereby many property owners wished that they never had involved themselves in buying a property through an off-shore company. Many years ago many jurisdictions were blacklisted and the majority had the choice either to move to Delaware or Malta. Some opted for the latter others for Delaware. What it was all about in fact nobody realised.

A normal company has shareholders, directors and capital and in general audited accounts. In the case of off-shores, the share capital was most of the time nominal and in the books, the money to purchase a property was registered as a loan of the shareholders to the company.

In case of a sale, we refunded the monies to the shareholders without knowing where the monies originated from when they bought the property. How things have changed!

Some companies now suggest bringing the off-shore onshore without realising what the consequences are.


Allow me to explain what has been suggested by some companies that recommend redomiciling non-resident companies to Portugal:

The idea is the continuance of the same company from the original head office to Portugal, continuing to be the exact same company.

In order to minimize the capital gains tax on LIQUIDATION OF THE COMPANY or in  case of SALE OF SHARES only, some companies have suggested that the asset value should be increased in the original head office, and upon domiciliation to Portugal, indicate as social capital exactly the same value (or similar to) of the property that had just been object of revaluation.

The increase of the social capital entails the increase of the share value, and upon liquidation of the company, potentially the asset is equivalent value to the shares, thus does not create a tax or will create a very small amount.

This artificial inflation of the property value in the accounts has 2 perspectives:

A. Delaware - if the company is domiciled in Delaware as an LLC prior to the re domiciliation to Portugal, we must take into account 2 points:

i.                     An LLC does not have a capital

ii.                   An LLC does not have organized accounting (it may have an in-house accounting, but it is not organized)

These two aspects will force to create a capital when coming in Portugal, and in fact creating a different company type. An LLC is a partnership and a disregarded entity for USA purposes hence the lack of social capital. When coming into Portugal this company is totally transformed into either a commercial company or a civil company under commercial form. Either way there is an alteration of the company type that has been possible only due to the lack of information of the services and supply of declarations to fit in with the Portuguese requirements.

On the other hand, and because it is a disregarded company, it does not have organised accountancy. Recently (February 2018) the Finance Department issued a Binding Information stating that non-resident companies, when redomiciling to Portugal, if they do not have organised accountancy in their original home country, when initiating accounts in Portugal, the value of the asset must be the one of the deed of purchase.

In simple terms, the accounts of a redomiciled company from Delaware, when registering the domicile in Portugal, should reflect the value of the deed of purchase in the books rather than an artificial inflation justified by a declaration of an estate agent when the company was still domiciled in Delaware.

The consequence is that in case of LIQUIDATION the value of the asset will be the same as the deed of purchase, and the asset may be transmitted to the partner but if he sells on, the capital gains will crystalize.

B. Malta – if the company is domiciled in Malta, we can verify that there is organised accounts and there is social capital. However, the social capital normally is not all paid and issued, though upon domiciliation it is declared that it is (paid and issued). If this does not correspond to the truth, the deed of domiciliation to Portugal is a false declaration to an authority and liable for a criminal offense.

    The social capital is possible to be increased in Malta but it will require payment of stamp duty and some alterations to take place.

    Though the Binding Information Feb-2018 referred only to those companies with no organised accounting, I cannot assure that this transaction will pass the test of a tax inspection with regards to the value of the asset reflected in the accounts.

The sale of the asset out of the company, to a 3rd party, will always attract, in whichever case, the original capital gains as the Binding Information of 2013 very clearly specifies that the capital gains tax of a company when selling the asset, will be based on the value of purchase and not of a revaluation made abroad before the domiciliation to Portugal.
